《iDesigner用户服务协议》(以下简称“本协议”)作为www.iDesigner-co.com网站(以下称本网站)提供服务的依据,在您使用本网站前,您需要注册为本网站用户,在注册前您务必认真阅读本协议,确认对本协议无任何异议且接受本协议约束前提下,再行注册为本网站用户,您点击确认或注册为本网站用户完成后或继续使用本网站,本协议即刻具有完全的合同效力。

 

本网站所载各项规则及相关服务及具有双方或单方权利或义务内容的文本为本协议不可分割的一部分,本网站有权随时单方面对本协议及网站内容进行变更及增减(以下合称变更)并于本网站进行发布。在变更内容后,如您对变更后本协议内容有异议,则可停止使用本网站及相关服务,否则视您完全接受本协议及本网站的变更。

 

一、知识产权

本网站的所有内容(包括但不限于文字、图标、图画、版式设计等所呈现出的部分或全部内容)及维系本网站运营的各种源代码、程序及系统等全部受中国著作权法律法规及相关国际条约的保护,本网站对上述内容拥有全部权利(包括但不限于专利权、著作权、商标权等),未经本网站书面许可不得复制、转载或以任何方式使用。本网站的商标为艾邸文化传媒(上海)有限公司所独家拥有,未经本网站书面许可,亦不得复制、转载或者以任何其他方式使用本网站商标。

 

二、释义

本网站是链接求职者和用人单位之间的职业信息中介平台功能的网站。

本网站:即www.iDesigner-co.com网站,网站载体包括但不限于网页、APP、微信公众号及现在或未来为艾邸文化传媒(上海)有限公司所有的网络载体。

账号:指用户为使用本网站而登记注册的用户身份识别信息,用户只有注册账号才能使用本网站的服务。

用户:符合本协议第三条所列之标准的本网站使用者。包括求职者及用人单位等。

求职者:指使用本网站浏览职位或/及投递职位信息进行信息交流等行为的自然人。

用人单位:指拥有用人资质,在本网站发布招聘/招工或/及相关信息的公司企业或其他组织。

 

三、用户的注册

在您使用本网站之前,须注册为本网站的用户,成为本网站的注册用户,是使用本网站的前置条件。

 

(一)用户适格

符合下列条件之一且未被本网站封禁的账户的自然人或者组织可以注册成为本网站适格的用户:

1、具有完全民事行为能力的自然人。

2、依据中华人民共和国相关法律法规或部门规章等规范性文件成立并合法存续的公司、企事业单位、机关和其他组织,且具有能使用本网站服务的民事权利能力和民事行为能力,具有合法用人资格。

 

(二)网站审核

1、适格的用户需要按照本网站要求提供明确的联系方式、地址、真实姓名或名称、资质文件资料等信息,方可完成本网站的注册。

2、用人单位成为注册用户(入驻本网站完成注册之前,无需经过本网站审核,但注册成功后在提交资料的时候需要本网站的初步审核)。用人单位注册时所涉及的经营内容不得违反我国法律法规、部门规章、地方性法规等规范性文件,本网站的各项规则和协议以及社会公序良俗,包括但不限于以下情形:

- 涉及违反宪法法律所确定基本原则的内容;

- 涉及损害他方合法权益的(包含但不限于损害他方知识产权、名誉权、名称权、隐私权、商业秘密等)

- 涉及低俗、淫秽、色情、赌博、毒品、迷信、邪教等内容;

- 涉及兼职或欺诈内容;

- 涉及违法或犯罪内容;

- 涉及违反政治正确内容;

- 涉及违反社会公序良俗内容;

- 散布谣言,扰乱社会秩序,破坏社会稳定的;

- 侮辱或者诽谤他人,侵害他人合法权益的;

- 涉及违反国家民族及宗教政策的内容。

- 其他本网站认为不合适的内容

3、本网站有权要求用人单位提供相应的资质文件(包括但不限于营业执照、经营许可证等),并对资质文件进行常识性的审查及判断。对于涉及或可能涉及经营人力资源业务、猎头业务、招聘业务等可能与本网站业务存在竞争关系或利益冲突的用人单位,本网站保留拒绝其注册或继续使用本网站的权利。

4、求职者成为注册用户,需要是按照中国法规具有完全民事行为能力的自然人,且按照本网站要求填写相关的个人基础信息资料,本网站对求职者资料不做审核。如求职者不符合注册条件或未按照本网站要求进行注册,则本网站可以在知晓相关情形后随时终止求职者继续作为本网站用户的资质且可拒绝求职者继续使用本网站。求职者在注册时所涉及的注册内容不得违反我国法律法规、部门规章、地方性法规等规范性文件,本网站的各项规则和协议以及社会公序良俗。

 

四、本网站使用规则

(一)本网站服务内容:本网站主要为用户提供求职及招聘的服务。具体服务内容如下:

1、用人单位通过本网站审核并完成注册且满足本网站所列之要求后,即可发布招聘信息、进行相关的招聘活动。

(1)用人单位在本网站指定位置发布相关的招聘信息,包括但不限于职位信息、公司简介(包含公司商标、名称、文字说明等)、配图等。用人单位可自主对除公司名称、logo、和营业执照外的信息进行修改,涉及到用人单位公司名称、logo、和营业执照信息修改的,可联系本网站,由本网站后台进行修改。

(2)用户发布的相关信息均应遵守法律、行政法规等规范性文件相关规定,本网站的各项规则和协议以及社会公序良俗,并确保不侵犯第三人的包括但不限于知识产权、商业秘密等任何合法权益。

(3)本网站不对用人单位的经营状况做任何的实质审查,不对用人单位的资信状况做出任何保证。用人单位发布的信息除用于招聘所需的必要信息外不得有其他内容。本网站有权对用人单位所发布的信息进行审核,并有权要求用户做出解释或更正等。用人单位所发布的招聘信息不实或违法违规的,因此给求职者、本网站或其他任何第三人造成损失的,应承担相应的赔偿责任。用人单位在遵守本用户协议规定的情况下,根据其自身招聘需求可以向本网站购买付费服务。

2、求职者通过本网站审核并完成注册且满足本网站所列之要求后,可通过本网站搜寻找工作相关信息。

(1)求职者发布的找工作相关信息均应遵守法律、行政法规、部门规章等规范性文件的相关规定及本网站的各项规则和协议以及社会公序良俗,并确保不侵犯第三人的任何合法权益。

(2)本网站不对简历的内容做实质性审查,亦无法不保证简历的真实性和准确性。求职者找工作信息不实或违规的,由求职者自行承担相应的后果,包括被用人单位不予录用或录用后解除劳动关系等。因此给用人单位、本网站或第三人造成损失的,还应承担相应的赔偿责任。

 

(二)用户使用本网站规则:

1、用户承诺使用本网站仅为用户自身招聘或者找工作及与之相关之目的。

2、用户承诺在本网站注册及使用本网站过程中所提供的信息为准确、完整、合法、真实之信息。该信息包括但不限于姓名或名称、个人身份证明、营业资质证明、通讯地址、用人单位介绍、职位信息等。用户保证对上述信息进行如实描述和及时更新,且承诺使用以上信息内容均出于自愿并已得到充分有效之授权。否则将承担因此而所造成相对方、本网站及任何第三人的所有损失。

3、用户承诺同意为了进行招聘或者求职活动,另一方用户通过本网站的功能可以查阅上述之信息。

4、用户全面知悉并充分了解本协议所制定的所有规则制度,同意全面遵守本协议文本所涉及的规则制度。

5、用户须自行对其用户名、登录密码、支付密码、验证码等的安全及使用上

述信息的行为负责,不得将上述信息提供给任何第三方使用或泄露给任何第三方。如若违反上述规则而产生的任何损失或损害,由用户承担相关责任,本网站保留追偿的权利。

6、用户承诺在使用本网站过程中将最大程度的遵守诚实信用原则。用户承诺在使用本网站过程中所获悉的属于本网站及他方的文件及资料(包括但不限于个人信息、公司运营信息、商业秘密、技术信息等)属于保密信息。对此用户对本网站及本网站对用户及用户之间负有保密之义务,除法律法规规定或双方另有约定外,任何一方不得以任何方式向第三方泄露该信息的全部或者部分内容。

7、用户不得在本网站使用过程中从事与本网站协议所载之服务无关的行为,不得发布除招聘信息及求职信息或与之相关的必需信息外的其他内容。

8、用户承诺其注册信息的真实性,不以虚假信息注册帐号,不冒用、盗用、借用他人或关联机构或非用户本身之外第三人的名义注册本网站之账户。

 

(三)本网站

1、本网站承诺除非得到用户事先允诺或法律法规之要求外,否则不会将任何用户信息以出售、交换等方式提供给任何与本网站服务无关的第三方。

2、用户在注册和使用本网站时,根据本网站中所列要求提供相关的用户信息,本网站有权收集和使用用户在使用本网站服务的过程中产生的数据、使用痕迹等信息,包括但不限于求职者用户数量、求职者学历构成、企业用户数量、职位行业分布、行业薪资状况、用户活跃度、用户人均在线时长等。

 

五、责任声明

1、本网站为用户提供信息服务与用户交流的平台,在本网站所载所有的职位信息、求职信息及交流信息均由用户自行上传及发布。本网站对用户的资信情况及发布信息的真实性、合法性等不作任何保证。因用户上传或发布的信息导致的对本网站用户或任何第三方造成的损失,本网站不承担相关责任。

2、本网站所载的任何资料或信息,无论其来自于本网站或其他外部链接,本网站对此不做出任何保证。本网站提供与其它网站或资源的链接,用户可能会因此跳转至其它的网站,本网站否认与这些网站及运营商有任何关系,此类网站或运营商所载的任何内容,与本网站亦无任何关系。因使用或依赖任何此类网站或资源发布的或获得的任何内容所产生的任何损失,本网站不承担任何责任。

3、虽然本网站已尽全力做好了相应的安全防范措施,但不保证不会发生以下情况,例如第三方突破了我们的安全措施而进入我们的数据库,获取了用户的公司资料或者求职者简历信息等。在用户把其自身的资料信息放入我们的数据库时,用户确认已经意识到了风险并同意承担这样的风险。对于因此而引起的任何法律纠纷,本网站不承担任何法律责任

4、本网站尽可能优化并完善本网站的运行系统,但不保证能够满足所有用户所需,不保证不出现任何的系统宕机或数据丢失及其他问题;在本网站进行正常的系统维护升级等涉及网站自身调整因素时造成的本网站无法正常访问或其他情况,本网站不承担任何责任。

 

六、本协议的解除或终止

(一)因不可抗力(不可抗力是指不能遇见、不能避免并不能克服的客观情况)因素致使本协议无法继续履行或者没有履行必要。由发生不可抗力因素一方及时通知另一方单方解除本协议。

(二)本网站基于法律法规要求或用户违反本协议或本网站规则的,本网站可以单方终止对用户提供服务的,协议终止并不免除用户应承担的责任。

(三)一方主体归于消灭、撤销等处于无法有效存续状态的。

 

七、违约责任

任何一方均应按照诚实信用原则履行本协议中约定的义务,任何一方违反本协议约定的行为均构成违约行为,均应承担相应的责任。

用户未按照本协议约定使用本网站的,本网站有权采取相应处理措施,该处理措施包括但不限于对用户停止服务,封禁用户帐号或对用户发布的信息进行删除等。

 

八、其他

本网站拥有对本协议的最终解释权。

用户与本网站的任何纠纷,可以通过协商的途径解决。协商不成的,任何一方可向本网站住所地的人民法院诉讼解决。本协议的订立、生效、解释、执行、管辖、争议的解决均适用中华人民共和国法律。

 

 

iDesigner User Service Agreement

 

iDesigner User Service Agreement (hereinafter referred to as the “Agreement") sets forth the legally binding terms and conditions for your use of the Website www.iDesigner-co.com (hereinafter referred to as the “Website”). By accessing or using the Website in any manner, including, but not limited to, visiting or browsing the Website or contributing content or other materials to the Website, you agree to be bound by the Agreement and need to register as the user of the Website. Once registered successfully, the Agreement has the full contractual effect immediately.

 

The rules and related services contained in this Website, as well as the content of unilateral or bilateral rights or obligations, are the integral part of the Agreement. The Website is entitled to increase, decrease or change the contents of the Agreement at any time, and publish on the Website. If you have any objection to the changed content of the Agreement, you could discontinue the use of this Website and the related services; otherwise, you completely accept the Agreement and the changes.

 

1. Intellectual Property

All content of the Website (including but not limited to text, icons, drawings, layout design, etc.) and the Website's various source code, procedures and systems are all protected by China's copyright laws and regulations and relevant international treaties. This Website has all the rights, including but not limited to patents, copyrights, trademarks, etc. The trademark of this Website is exclusive owned by iDesigner.co.Ltd. No one is allowed to copy, reprint or use the trademark by any ways without the written permission of the Website.

 

2. Interpretation

The Website is an intermediary platform for providing professional job information between job seekers and employers.

Website: www.idesigner-co.com website, carriers including but not limited to webpage, APP, WeChat account and all network carriers belonging to iDesigner.co.Ltd.

Account: Accounts refer to the user identification information for users to register. Users can not use the services of the Website unless register the accounts.

User: Users refer to who meet the standards listed in article III of the Agreement, including job seekers and employers.

Job Seeker: A Job seeker refers to a natural person who browses the Website or posts information for information exchange.

Employer: A company or an organization that has the qualification to publish recruitment or/and related information to the Website.

 

3. Registration

You must register as a user of the Website to access the web’s content, which is prerequisite.

 

(1) User Qualification

A natural person or an organization that has not been blocked from the Website and meets one of the following qualifications can register as a qualified user.

1) A natural person with full civil capacity; and

2) A Company, enterprise, institution, and organization with legal qualification shall be established in accordance with the Laws and Regulations of the People's Republic of China and other relevant departmental rules, and has capacity for civil rights and capacity for civil conduct and independently enjoys civil rights.

 

(2) Website Examination

1) The qualified user shall provide accurate contact information, address, name, title, documents, etc. in accordance with the requirements of the Website to complete the registration.

2) If an employer wants to become a registered user, he/she does not need to go through the examination before registration, but shall go through the preliminary examination during the information submission process after register successfully. Information required during registration shall not violate China’s laws and regulations, departmental laws and regulations, local laws and regulations etc. Rules, protocols, social order and good custom under the Website include but not limited to the following conditions:

a) Violates the fundamental principles of the Constitution;

b) Damages others’ interests, including but not limited to intellectual property rights, reputation rights, name rights, privacy rights, trade secrets etc.;

c) Content involving filth, pornography, gambling, drugs, superstition, cults, etc.;

d) Content involving part-time jobs and fraud;

e) Content involving illegality and crime;

f) Content involving violation of political correctness;

g) Content involving violation of social order and good custom;

i) Insults or defames others or infringes on others’ legitimate rights; and

j) Violates national policies and religions; and other content prohibited by the Website.

 

3) The Website has the right to require the employer to provide corresponding qualification documents (including but not limited to business license, business license, etc.), and to exam and judge the qualification documents in a common sense. The website reserves the right to refuse the employer, whose business (involving human resources, headhunting, recruitment, etc.) may have a conflict of interest with the business under the Website, to register or continue to use the Website.

 

4) If a Job seeker wants to become a registered user, he/she needs to be a natural person with full civil capacity in accordance with China's laws and regulations, and fill in the required personal information, which does not go through the examination process. If the job seeker fails to meet the registration requirement or does not register in accordance with the Website’s requirement, the Website shall terminate the applicant's qualification as a user at any time and shall refuse the applicant to continue using the Website. Information required during registration shall not violate China’s laws and regulations, departmental laws and regulations, local laws and regulations, and rules, protocols, social order and good custom under the Website.

 

4. Rules of Use

(1) Website service content: the website mainly provides users with job search and recruitment services. Detail services are as follows:

1) The employer can post recruitment information and related recruitment activities through the Website as long as meeting the Website’s requirements, completing registration and passing the examination.

a) The employer shall publish recruitment information to the designated location of the Website. The Posted information includes but not limited to job information, company profile (including company logo, company name, explanatory note, etc.), and relevant pictures. The employer may modify any information except the company name, company logo and business license. To modify the company name, logo, and business license, the employer shall contact the Website to have the information modified.

b) The information posted by employers shall comply with the laws, administrative regulations, normative documents, rules, protocols, social order and good custom under the Website, and ensure no infringement of the third party, but not limited to intellectual property rights, trade secrets, etc.

c) The Website shall not perform substantive examination to the employer’s operating condition, and makes no guarantee to the employer's credit status. The information posted by the employer shall not involve any additional information except for the information related to recruitment. The Website has the right to exam the posted information, and has the right to require the user to make explanations or corrections. If the recruitment information is false or illegal, the employer shall be responsible for the corresponding loss to the job seeker, the Website or any other third person. The employer may purchase the service from this website according to its own demand in accordance with the provisions of the Agreement.

2) The job seeker can search job-related information through the Website as long as meeting the Website’s requirements, completing registration and passing the examination.

a)The information posted by job seekers shall comply with the laws, administrative regulations, normative documents, rules, protocols, social order and good custom under the Website, and ensure no infringement of the third party.

b) The Website shall not perform substantive examination to the resume, and makes no guarantee to its authenticity and accuracy. If the posted information is untrue or illegal, and bring the loss to the employer, this website or any third person, the job seeker shall bear the corresponding liability.

 

(2) Rules of Use

1) The user shall promise to use the Website only for the purpose of recruitment or job search.

2) The user shall promise all of the registration-related information is accurate, complete, lawful and true. The information includes but is not limited to name, personal identification, business qualification certificate, mailing address, employer's introduction, position information, etc. Users shall ensure that all of the information is truthfully described and updated in a timely manner, and promise the information is provided voluntarily and has been authorized effectively; otherwise, the user shall bear all the losses caused by the counterpart, the Website and any third party.

3) The user shall promise and allow the information above to be accessed by others through the Website in order to carry on the recruitment or the job search activity.

4) The user shall fully understand all the rules and regulations established by the Agreement and agree to fully comply with the rules and regulations under the Agreement.

5) The user shall be responsible for the security of own user name, login password, payment password, verification code and etc., and shall not reveal the information to any third party. Any loss or damage caused by the violation of the rules and regulations above shall be borne by the user, and the Website reserves the right to recover.

6) The user shall promise to obey the principle of good faith to the greatest degree when using the Website. The user shall promise the documents or materials belonging to the Website are classified, including but not limited to personal information, company operation information, trade secret, technical information, etc. No party shall disclose all or part of the information to a third party in any way, except for the provisions of laws and regulations.

7) The user shall not carry on the unrelated Website-service behavior when using the website and shall not post any other content than recruitment information, job search information or necessary information.

8) The user shall promise the authenticity of the registration information, and shall not use a false ID to register the account number, take, use, steal, and borrow other’s ID to register.

 

(3) The Website

1) The Website shall promises not to provide user information to others unless the user allows and the law and regulation requires.

2) The Website shall have the right to collect and use user information, including but not limited to the number of job seekers, the qualification of job seekers, the number of enterprises, the position of the industry distribution, Industry salary status, user activity, duration of user per capita online and so on.

 

5. Statement of Responsibility

(1) The Website is a platform that provides users with information services and communication. The job information and communication information are all uploaded and posted by users. The Website shall not guarantee those authenticity and legality and shall not be responsible for the loss caused by the user or any third party.

(2) The Website shall not be responsible for the accuracy of any information in it, no matter the information comes from the Website itself or other external links. The Website shall provide links through which users can access other websites or resources, which, however, is no relationship with the Website itself. Therefore, the Website shall be not liable for any loss arising from using the other websites or resources.

(3) The Website shall make every effort to carry on the corresponding security precautions, but shall not guarantee the following conditions. For example, the third party breaks through our security measures, accesses to our database, access to users’ company information or job seekers’ resume information. When users upload their own information into our database, they shall be aware of the risk and agree to take it. The Website shall not be liable for any legal disputes arising from it.

(4) We shall optimize and improve the operation of the Website as far as possible, but not guarantee to meet all of the users’ need, and promise no system outage or no data loss. For normal system maintenance and upgrade, this website shall not be responsible for any liability and loss arising from it.

 

6. Dissolution or Termination of the Agreement

(1) The Agreement shall not continue or fulfill due to force majeure, which is an objective situation that cannot be avoided and overcome. The party causing the force majeure shall promptly notify the other party to terminate the Agreement unilaterally.

(2) Based on the laws and regulations, the Website shall unilaterally terminate the Agreement with the user who violates the rules of the Website, but not exempt the user from the corresponding responsibility.

(3) One party's subject shall be destroyed or withdrawn in an ineffective state.

 

7. Liability for Breach of Contract

(1) Any Party shall perform the obligations stated in the Agreement and bear the corresponding responsibility of breach of contract.

(2) If the user does not agree to use the Website in accordance with the Agreement, the Website shall have the right to take corresponding measures, including but not limited to terminate the user’s services, to ban the user’s account or to delete the information posted by the user.

 

8. Others

(1) The Website shall have the right to the final interpretation of this Agreement.

(2) Any disputes between users and the Website shall be resolved through negotiation. If the consultation fails, either party shall address the People's Court where the Website is addressed. The laws of the PRC apply to the conclusion, entry into force, interpretation, execution, jurisdiction and dispute settlement enacted by the Agreement.
